Introduction

Welcome to In-House Group ("IHG," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the In-House Group website and networking platform, including any content, functionality, and services offered through our website (collectively, the "Platform").

Please read these Terms carefully before you start using the Platform. By using the Platform, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

Account Registration and Eligibility

To access certain features of the Platform, you must register for an account. When you register, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

By creating an account, you represent and warrant that:

  • You are at least 18 years of age
  • You are a professional in your stated field
  • All information you provide is accurate and truthful
  • You will maintain the accuracy of this information
  • You have the legal capacity to agree to these Terms

We reserve the right to approve or deny applications for membership at our sole discretion. Membership is subject to an application process and is not guaranteed to all applicants.

Platform Purpose and Acceptable Use

In-House Group is a professional networking platform designed to facilitate meaningful connections between professionals. The Platform includes features such as profile creation, networking capabilities, messaging, and professional matching.

You agree to use the Platform only for its intended purposes and in accordance with these Terms and all applicable laws and regulations. Specifically, you agree not to:

  • Use the Platform for any commercial solicitation purposes without our express consent
  • Use the Platform for recruiting or job postings without authorization
  • Impersonate or attempt to impersonate IHG, an IHG employee, another user, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
  • Attempt to gain unauthorized access to the Platform, user accounts, or computer systems
  • Use the Platform to transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable
  • Use the Platform to send unsolicited or unauthorized advertising or promotional material
  • Introduce any viruses, trojan horses, worms, or other harmful material
  • Interfere with the proper working of the Platform

User Content and Conduct

Our Platform allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are responsible for the User Content that you post to the Platform, including its legality, reliability, and appropriateness.

By posting User Content on the Platform, you:

  • Grant us the right to use, modify, perform, display, reproduce, and distribute such content on the Platform
  • Represent and warrant that you own or control all rights in and to the User Content
  • Acknowledge that your User Content will not violate any third party's rights
  • Agree that you are responsible for any User Content you submit

We have the right to:

  • Remove or refuse to post any User Content for any reason
  • Take any action with respect to User Content that we deem necessary or appropriate
  • Disclose your identity or other information about you to any third party who claims that User Content posted by you violates their rights

Matching and Connections

IHG provides a matching system that connects members based on professional interests, specialties, and other factors. While we strive to create valuable connections, we make no guarantees regarding the quality, frequency, or outcome of any matches or connections made through our Platform.

You understand and agree that:

  • Matches are generated algorithmically and may not always meet your expectations
  • We are not responsible for the conduct of any members you connect with
  • We reserve the right to adjust matching parameters and algorithms at any time
  • You are responsible for your interactions with other members

Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by IHG, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your Web browser for display enhancement purposes
  • You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution

The Platform may contain links to third-party websites, resources, or services. These links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. IHG expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

IHG makes no warranty that the Platform will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event will IHG, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Platform, including any direct, indirect, special, incidental, consequential, or punitive damages.

Indemnification

You agree to defend, indemnify, and hold harmless IHG, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

Changes to the Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Platform thereafter. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
